1. Agreement to Terms
By accessing or using Aurora (the "Platform"), including Holmes (our intent-aware intelligence layer), data builder, workflows, dashboards, APIs, storefronts, vendor dashboards, and related services, you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Description of Service
Aurora is an intent-aware execution platform that enables you to build and operate adaptive digital systems. Holmes infers user intent in real time so your applications can adapt to the moment. The Platform includes:
- Data builder with sections (tables), records, and relations
- Workflows, events, and automation
- Reports and dashboards
- API, SDK, and templates for stores, marketplaces, and custom apps
- Holmes intent detection and situational intelligence
- Multi-tenant and white-label capabilities
- Vendor dashboards, delivery slots, and marketplace features
3. Account and Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised access.
4. Acceptable Use
You must not use the Platform to:
- Violate any applicable law or regulation
- Infringe the intellectual property, privacy, or other rights of others
- Distribute malware, spam, or engage in phishing or fraud
- Circumvent security controls or attempt to gain unauthorised access to systems or data
- Resell or sublicense the Platform in a manner inconsistent with your subscription (unless expressly permitted)
- Use the Platform in a way that could harm, disable, or overburden our systems or other users
We may suspend or terminate your access if we reasonably believe you have violated these Terms or acceptable use.
5. Your Data and Content
You retain ownership of the data and content you create or upload to the Platform. By using the Platform, you grant us a limited licence to process, store, and display your content as necessary to provide the service and as described in our Privacy Policy.
You are responsible for ensuring that your content and your use of the Platform comply with applicable laws and that you have the right to use and process any personal data you input. You must obtain appropriate consents and provide your own privacy notices to end users where required.
6. Subscription, Fees, and Payment
Access to the Platform may require a paid subscription. Fees, billing cycles, and payment terms are set out in your order or subscription agreement. You agree to pay all fees when due. We may change pricing with reasonable notice.
Unless otherwise agreed, subscriptions renew automatically. You may cancel in accordance with the cancellation terms applicable to your plan.
7. Intellectual Property
Aurora, Holmes, and the Platform (including software, design, branding, and documentation) are our intellectual property or that of our licensors. These Terms do not grant you any rights to our IP except the limited right to use the Platform as permitted. Feedback you provide may be used by us without obligation to you.
8. Disclaimer of Warranties
The Platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or secure. Holmes intent inference and adaptive behaviour are best-effort and may not be accurate in all contexts. To the fullest extent permitted by law, we disclaim all warranties, express or implied.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Platform or these Terms. Our total liability for any claims in connection with the Platform shall not exceed the fees you paid to us in the twelve months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (e.g. for death or personal injury caused by negligence, or fraud).
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Platform, your content, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your access at any time for breach of these Terms, fraud, or as necessary to protect the Platform or others. You may terminate by cancelling your subscription and ceasing use. Upon termination, your right to use the Platform ends. Provisions that by their nature should survive (e.g. intellectual property, liability, indemnity) will survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless we mutually agree otherwise or you are a consumer with mandatory consumer protection rights in your country of residence.
13. General
These Terms constitute the entire agreement between you and us regarding the Platform and supersede any prior agreements. We may amend these Terms from time to time; we will notify you of material changes. Continued use after changes constitutes acceptance. If any provision is held invalid, the remainder remains in force.
